01. Agreement to Terms

By accessing or using our platform, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services. These Terms apply to all visitors, users, clients, administrators, and others who access or use the platform.

02. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use our Services, either on your own behalf or on behalf of an organization you are authorized to represent. By using the Services, you confirm that you meet this requirement.

03. Accounts, Registration, and Security

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Services.

• You are responsible for safeguarding the password that you use to access the Services.
• You agree not to disclose your password to any third party.
• You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that we reasonably believe are being misused, shared, or accessed without authorization.

04. Description of Services

Flochild Engineering provides integrated engineering solutions including, but not limited to, security systems, renewable energy, electrical installations, smart infrastructure, and project management. Descriptions of our services on this website are for general informational purposes and do not constitute a binding offer until confirmed in a written quotation or signed service agreement. We reserve the right to modify, suspend, or discontinue any part of the Services, including the client portal, at any time.

05. Quotations, Bookings & Service Delivery

All financial quotations, project estimates, and invoices generated through the system are bound by the following conditions:

• Quotations remain valid for the period specified on the quote document (typically 30 days from issuance unless otherwise noted).
• Booking or quotation requests submitted online are not binding until we issue a formal quotation and it is accepted by you in writing.
• Pricing, timelines, and scope of work may be subject to a physical or virtual site assessment where applicable.
• Project execution commences upon formal acceptance of the quotation and clearance of any required advance deposit.
• We reserve the right to decline any booking or quotation request at our discretion.

06. Billing, Payments & Refunds

• Prices are quoted in Kenya Shillings (KES) unless explicitly designated otherwise on the line items.
• Payment terms, deposit requirements, and milestones will be set out in your quotation or service agreement. Unless otherwise agreed in writing, invoices are due within the period stated on the invoice.
• Late payment may result in delayed project delivery or suspension of ongoing work.
• Refunds, where applicable, are assessed on a case-by-case basis in accordance with the terms of the relevant service agreement and work already performed or materials already procured.

07. User Conduct & Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to any part of the platform, other accounts, or systems connected to our Services.
• Upload or transmit malicious code, or interfere with the security or normal operation of the platform.
• Misrepresent your identity or affiliation, or submit false information in a quote request, booking, or job application.

We reserve the right to investigate and take appropriate action, including account suspension and, where necessary, referral to law enforcement, against anyone who violates this section.

08. Intellectual Property Rights

The Services and their original content, features, and functionality — including text, graphics, logos, and design — are and will remain the exclusive property of Flochild Engineering Ltd and its licensors, and are protected by copyright, trademark, and other applicable laws. Engineering designs, drawings, and technical documentation produced for a specific client project remain subject to the terms of the relevant service agreement and may not be reproduced or reused without our prior written consent. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

09. Third-Party Links & Services

Our website may contain links to third-party websites or services that are not owned or controlled by Flochild Engineering. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You access such links at your own risk.

10. Disclaimers & Warranties

We carry out engineering works with reasonable skill and care in line with applicable industry standards. Any specific product or workmanship warranties will be set out in your service agreement or invoice. Except as expressly stated, the Services and this website are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by Kenyan law, in no event shall Flochild Engineering Ltd, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, the Services. Our total liability arising from any project or engagement shall not exceed the amount paid by you for the specific service giving rise to the claim, except where liability cannot be limited by law (e.g. gross negligence or willful misconduct).

12. Indemnification

You agree to indemnify and hold harmless Flochild Engineering Ltd and its directors, employees, and agents from any claim, demand, loss, or damage, including reasonable legal fees, arising out of your misuse of the Services, violation of these Terms, or violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the client portal or website at any time, without prior notice, if we reasonably believe you have violated these Terms. Termination of portal access does not affect obligations already accrued under any existing signed service agreement, including outstanding payment obligations.

14. Dispute Resolution & Governing Law

These Terms shall be governed and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Kenya. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15. Severability & Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with any applicable service agreement or quotation, constitute the entire agreement between you and Flochild Engineering Ltd regarding the Services.

16. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Continued use of the Services after any revision becomes effective constitutes your acceptance of the new Terms.
